WHAT’S INCLUDED:
Individually-packed robot kits for each student & decorations, brought by the Brooklyn Robot Foundry teacher(s).
ADDITIONAL DETAILS:
Brooklyn Robot Foundry is the sole provider of these programs. Building instructions are not to be shared, and projects are not to be built outside of our scheduled classes. Students who miss a class will not be provided with that robot kit.
Students will be using tools (screwdrivers) and handling materials such as screws that may result in minor accidents, such as cuts or scrapes. Your organization understands/accepts the liability of its students using these tools, and Brooklyn Robot Foundry will not be responsible for these accidents.
Programs occur at host locations, and your organization will be solely responsible for any drop-off, pick-up, and the safety of travel to/from the program.
REQUIREMENTS:
Your organization will provide:
- Classroom with enough desk or table space for each participant to work comfortably
- One additional counter or table for supplies nearby an outlet
We reserve the right to use still images and video from the program for marketing or training use, unless we receive written notification from any participants stating otherwise. We will not publish the names of students, but may reference the school/camp/organization.
CONTRACT & PAYMENT SCHEDULE:
- A deposit is required to book the session. On the day of the session, your organization must pay the balance.
CANCELLATION TERMS
Your organization will have until a month before the start of the session to cancel the class in writing (email). If canceled prior to the date, the deposit will be refunded less the cost of materials and labor for the first class. If your organization cancels after that date, the deposit and any fees collected will not be refunded.
In the event that your organization is closed for weather or public health reasons, you will not be given any refunds. We will postpone completion of the program to a future date, or find a similarly mutually-suitable arrangement, such as online classes.
There will be no refunds, reductions in price, or makeup classes, for students who register but miss a class. We will not be able to provide a video recording of the class or building instructions.
INTELLECTUAL PROPERTY
I understand that any project I or my students make, see, or have / has explained to me / my students by the teachers at The Foundry is based on work product and intellectual property owned and developed by Brooklyn Robot Foundry IP LLC over many years. Moreover, I understand that the materials, including but not limited to handouts and images, provided in connection with any project or course at The Foundry and its affiliates, whether provided or displayed in digital or physical copy, are subject to copyright protection and are not to be copied without authorization. I acknowledge and agree that The Foundry and its affiliates has a legitimate business interest in the protection of the techniques, methods, and projects disclosed to me in the classes or other programs at The Foundry. I understand, acknowledge, and agree that I am prohibited from using or disclosing any of these techniques, methods, or projects for monetary gain without Brooklyn Robot Foundry IP LLC’s express prior written consent. I understand, acknowledge, and agree that the course and project materials provided by The Foundry are the copyright of Brooklyn Robot Foundry IP LLC and that I may not copy, reproduce, distribute, perform, or display such works, or create derivative works from said works, without Brooklyn Robot Foundry IP LLC’s express prior written consent.
GOVERNING LAW — B2B.
This Agreement is governed by the laws of the State of Texas. EXCLUSIVE VENUE for any action arising out of or relating to this Agreement is in the state or federal courts located in Collin County, Texas. EACH PARTY WAIVES TRIAL BY JURY IN ANY SUCH ACTION OR PROCEEDING.
For purposes of the following sections, “Provider” means Brooklyn Robot Foundry; “Host” means Your Organization; “Program” means the robotics/STEAM activities and related services described in this Agreement; “Premises” means the Host’s site(s) or other locations where the Program is delivered;
STUDENT WAIVERS; PROGRAM RISKS (B2B).
HOST ACKNOWLEDGES THAT PROGRAM ACTIVITIES INVOLVE HAND TOOLS, HOT GLUE, SMALL PARTS, MAGNETS, AND BATTERIES. HOST RELEASES AND DISCHARGES THE PROVIDER, ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS (THE “RELEASED PARTIES”) FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, OR CAUSES OF ACTION NOW EXISTING OR HEREAFTER ARISING FROM ENROLLMENT, ATTENDANCE, PARTICIPATION IN, OR OBSERVATION OF THE PROGRAM, INCLUDING FOR PERSONAL INJURY, ILLNESS, BODILY INJURY, EMOTIONAL DISTRESS, PROPERTY DAMAGE, OR DEATH.
INDEMNITY (B2B).
TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, HOST SHALL DEFEND, INDEMNIFY, AND HOLD HARMLESS PROVIDER AND ITS OWNERS, EMPLOYEES, AND AGENTS FROM AND AGAINST CLAIMS, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF: (A) HOST’S PREMISES OR OPERATIONS; (B) THE ACTS OR OMISSIONS OF HOST’S EMPLOYEES, STUDENTS, OR INVITEES; OR (C) HOST’S BREACH OF THIS AGREEMENT; EXCEPT TO THE EXTENT CAUSED BY PROVIDER’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT. PROVIDER SHALL DEFEND, INDEMNIFY, AND HOLD HARMLESS HOST FROM CLAIMS TO THE EXTENT CAUSED BY PROVIDER’S NEGLIGENCE IN PERFORMING THE SERVICES, EXCLUDING HOST’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
MEDICAL TREATMENT; NO MEDICAL SERVICES (B2B).
PROVIDER DOES NOT AND WILL NOT PERFORM OR ADMINISTER MEDICAL OR NURSING TREATMENT, FIRST AID, OR MEDICATIONS, EXCEPT IF EXPRESSLY AND SPECIFICALLY AGREED IN A WRITTEN SERVICE CONTRACT SIGNED BY PROVIDER. HOST IS RESPONSIBLE FOR ALL STUDENT MEDICAL CARE/TRANSPORT AND FOR MAINTAINING EMERGENCY CONTACT AND ALLERGY INFORMATION. IN AN EMERGENCY, PROVIDER MAY CONTACT 911 AND/OR SEEK EMERGENCY CARE; HOST ACCEPTS FINANCIAL RESPONSIBILITY FOR RELATED COSTS FOR ITS STUDENTS.
AGREEMENT
On behalf of my organization, I hereby agree to proceed with the Luminary Journeys, LLC, an independently owned and operated Franchise of the Brooklyn Robot Foundry operating under the trade name Brooklyn Robot Foundry Collin County (hereinafter “The Foundry” or “Brooklyn Robot Foundry”), residency program outlined above, as well as to the associated terms and conditions listed above.
